Orange Tape (Alien Workshop & Habitat Skateboards)
Orange Tape (“Company”) hereby authorizes the undersigned dealer (“Dealer”) to purchase and resell Orange Tape branded products within their approved retail location(s). This agreement supersedes any prior agreements related to the purchase and resale of these product lines.
Orders may be placed through your assigned sales representative or through our ordering portal. The Company reserves the right to accept or decline any order at its discretion.
Dealer agrees to sell Orange Tape products at or above the Minimum Advertised Price (MAP) established by the Company. Violations of MAP policy may result in suspension or termination of the dealer account. Wholesale pricing is subject to change with 30 days written notice.
Unless otherwise agreed to in writing, payment is due at the time of shipment. The Company accepts major credit cards and other payment methods as agreed upon with your sales representative. For accounts on extended payment terms, invoices not paid within the agreed period may be subject to a late fee of 1.5% per month. We’ll always reach out before any fees are applied.
All orders ship FOB Shipping Point. Title and risk of loss pass to Dealer upon tender of goods to the carrier. The Company is not responsible for delays, damage, or loss occurring after shipment. Dealer is responsible for filing any claims directly with the carrier. Orders will be shipped to the address on file unless otherwise specified in writing.
All returns require a Return Authorization (RA) number issued by Orange Tape. Defective merchandise claims must be submitted within 30 days of receipt. Unauthorized returns will not be accepted.
Dealer agrees to represent Orange Tape products in a manner consistent with the brand’s image and standards. Use of Orange Tape logos, imagery, or trademarks requires prior written approval. Dealer may not alter, modify, or rebrand any Orange Tape products.
Dealer is authorized to sell Orange Tape products through their own website. Sale of Orange Tape products on third-party marketplaces (Amazon, eBay, etc.) is prohibited without prior written consent from the Company.
Prebook orders are considered binding upon confirmation. Orange Tape reserves the right to assess a cancellation fee on any order cancelled after confirmation. Orders that have already shipped cannot be cancelled.
This agreement is effective upon submission and renews automatically on an annual basis. Either party may terminate this agreement with 30 days written notice. Orange Tape reserves the right to terminate this agreement immediately in the event of a material breach of its terms.
Dealer agrees that it shall be liable for and pay all of Orange Tape’s attorney’s fees (including local counsel fees), expert fees, accountant fees, court fees, collection costs, collection agency fees (if applicable), and any other expenses, whether or not incurred in connection with the enforcement of any terms of this agreement or resulting from default by Dealer, and/or in connection with the enforcement of any judgment or award rendered in favor of Orange Tape. This agreement shall be interpreted under the laws of the State of Oregon. Venue for any action brought by Orange Tape to enforce any terms of this agreement shall be in Multnomah County, at the sole option of Orange Tape.
